Note: Once your order has been submitted, it cannot be added to, updated or changed in any way. The ability to cancel an order is limited and not guaranteed. If an order cannot be canceled, you may return it in accordance with the Returns Policy.

As the administrators of this site, Sailrite Enterprises, Inc. may at any time revise these Terms and Conditions by updating this posting, so you should periodically check the current terms to which you are bound. Sailrite Enterprises, Inc., is also dba JustWholesale (herein "Sailrite," "JustWholesale," "Company," or "Companies").

General

By using this site, you agree that any disputes arising from your use of the site shall be governed exclusively by the laws of the State of Indiana without regard to conflicts of law principles, and the exclusive venue for any legal dispute regarding these Terms and Conditions shall be in the state and federal courts located in Indiana. The section titles are for convenience only and have no legal or contractual effect. If a court of competent jurisdiction finds that any provision of these Terms and Conditions is invalid or unenforceable in whole or in part, you agree that the other provisions of these Terms and Conditions will remain in full force and effect.

Agreements

I hereby certify that I am at least 18 years of age or older.

I agree to not use a credit card or other form of payment that does not belong to me.

I acknowledge and agree to all terms of service found within the footer of the website, and any associated fees disclosed.

I acknowledge and agree that orders for special or modified products are non-cancelable.

I understand that U.S. legislation requires the Company to charge sales tax on all non-exempt shipped orders to applicable states where it has an economic nexus, and on all non-exempt orders being picked up at its facility. I understand that any tax I owe will be automatically calculated and added to my order total during the checkout process. I acknowledge that Avalara is a third-party company that the Company has partnered with to collect and manage Sales Tax and Exemption Certificates.

I understand that logos, legal names, “doing business as” names, blog posts, page content, videos, images, PDF documents and any slogans that may appear on the Company website, or in Company materials, are trademarks or registered trademarks of Sailrite Enterprises, Inc. and may not be copied, imitated or used, in whole or in part.

I understand that I do not have the right to display Company images or photography on my website or for my own personal use.

Terms of Use

By using or accessing the Company website, you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy. If you do not want to agree to our Terms and Conditions and the Privacy Policy, you must not access or use any Company domains.

The Company reserves the right to refuse service at its discretion, including without limitation, if the Company believes that customer conduct violates applicable law or is harmful to the interests of the Company.

While visiting or using the Company website, or while using any services provided by or through the website, you agree not to:

Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Frame, repackage or otherwise redistribute any portion of the website;
Access or use password-protected, secure or non-public areas of the website without authorization;
Violate any applicable laws or regulations, including without limitation any local, state, national or international laws, any export control laws, or any regulations promulgated by any competent authority;

Sailrite Enterprises, Inc. reserves the right to take any legal action against any user that is believed to have violated these terms of use and/or applicable law, or whose conduct is believed to be harmful to the interests of the Company. Such action includes, but is not limited to, refusing service or terminating the user’s website access. Sailrite Enterprises, Inc. and its affiliates will not be liable to you or any third party as a result of such termination or modification. These Terms and Conditions will survive any such termination or modification.

By using the Company or the products and services provided by or through the Company websites, to the maximum extent permitted by applicable law, you agree to waive and release JustWholesale and Sailrite Enterprises, Inc. from any claim or liability in connection with the collection, use or disclosure of information consistent with our Privacy Policy.

Account Responsibilities

You are responsible for:

Keeping your password confidential;
Not allowing anyone access to your user account or password;
Any damages or losses that the Company or any third party may incur or suffer as a result of your failure to maintain the confidentiality of your password; and
Promptly informing the Company in writing of any potential or actual security concerns regarding your user account or password.

By using the Company website, you accept responsibility for all activities that occur under your account. You agree to be responsible for any act or omission of any user of your account, and that if any such act or omission by a user of your account would, if undertaken by you, be deemed a violation of these Terms and Conditions, such act or omission shall be deemed a violation of these Terms and Conditions by you.

Furthermore, you agree not to use the Company website in any manner that:

Violates any local, state, national or international law, including any applicable privacy legislation;
Threatens, stalks, harasses, abuses, defames, slanders, or in any other way harms another individual, business or organization;
Impersonates any person or entity, misrepresents your affiliation with any person or entity, or otherwise creates a false identity for the purpose of misleading others; or
Infringes someone else’s patent, trademark, trade secret, copyright, or other intellectual property or other rights.

About Our Products

The Company reserves the right to change or modify product design or construction without prior notice and without incurring any obligation to make such changes or modifications to products previously sold.

We have made every effort to display the colors and textures of our products as accurately as possible. However, we cannot guarantee 100% accuracy due to color inconsistencies in computer monitors.

About Fabric

The Company is committed to only offering first quality fabrics; however, even first quality fabrics will have a few flaws. In light of this policy, we will make every effort to avoid sending a flaw with fabric cuts under 5 yards. If you require longer cuts, we recommend ordering additional fabric to compensate for the occasional flaw. Manufacturer flaw tags can be found on the edge of the fabric so you can avoid or inconspicuously place the flaws when patterning your projects.

All fabric and thread color coordinates are simply suggestions. We recommend ordering fabric samples before a final purchase to verify fabric color and thread color coordination. Samples are precut and not necessarily from the bolt of fabric and dye lot that you will receive when you order the fabric. We do not guarantee dye lots.

Pricing

The Company reserves the right to change prices if necessary due to price increases from original manufacturers. These changes may be made at any time without prior notice.

If after placing an order from Sailrite.com, you see that Sailrite has a promotion or sale on any of the items in your order, we will gladly offer a price adjustment within 7 days of the date on which you placed your order. Price adjustments are only available on items originally purchased at full retail price where no promo codes or discounts were applied. Price adjustments do not apply to discontinued or closeout pricing. Price adjustments are not available for JustWholesale.com orders. Each item purchased is only eligible for one price adjustment. Price adjustments will be in the form of a store credit.

To request a price adjustment, contact Customer Service at support@sailrite.com within 7 days of your order date and include your order details and the item(s) you believe are eligible for a price adjustment.

Order Status, Tracking & Delivery

Packages shipped by FedEx® are trackable. Provide a valid email address at checkout to receive a shipping confirmation email with tracking number when the order is shipped. Visit www.fedex.com to enter the tracking number and check the progress of your shipment. Customize your delivery (i.e., leave delivery instructions, receive status updates, sign for a package, etc.) by signing up for FedEx Delivery Manager® on FedEx’s website.

Packages shipped by the United States Postal Service (USPS) have limited tracking information. Visit www.usps.com and enter the tracking number to check the progress of your shipment.

If you have not received a shipping confirmation email, it is because your order has not yet been shipped, the email address provided was invalid or the email was blocked by your spam filter.

The full policies concerning order status and tracking are set forth on the “Order Status, Tracking & Delivery” pages on the Company website and are incorporated by reference into these Terms and Conditions. By using the Company website or the products and services provided by or through the Company, to the maximum extent permitted by applicable law, you agree to abide by the terms set forth for Order Status, Tracking & Delivery, and waive and release the Company from any claim or liability in connection with your failure to do so.

Order Fulfillment & Shipment

Once your order has been submitted, it cannot be added to, updated or changed in any way. The ability to cancel an order is limited and not guaranteed. If an order you placed cannot be canceled, you can return eligible items as directed on the “Returns” page on the Company website.

The Company works diligently to ship orders quickly and accurately, but shipping mistakes do occasionally happen. You should verify the correctness of all orders immediately upon receipt of the package and before you use any items. The Company will not be held liable for anything beyond the cost of the items purchased.

Shipments lost or damaged in transit are covered by insurance and the Company will replace, credit or attempt to find lost package(s) at no additional charge to you. This process can take several days. Once an order is confirmed lost by the shipping carrier, the Company will by default assume that you desire a replacement order and reship the goods that were lost.

Package Misdelivery & Theft

It is your responsibility to provide the proper shipping address when placing an order. The Company cannot and will not be held responsible in the event that package(s) are delivered to the wrong shipping address due to the address being incorrectly submitted by you at the time of purchase. We will do whatever is possible to try to retrieve the misdelivered package(s) for you, but we cannot replace or reship an order that was misdelivered at no fault of the Company without additional payment.

Package insurance covers shipments only while in transit. Loss, theft or damage after order delivery is your responsibility. Once the shipping courier has confirmed delivery at the address provided by you at checkout, the package becomes your responsibility. Should you believe your package(s) to have been stolen, please file a claim with your homeowner’s insurance and the local authorities.

Returns

Special orders, gift certificates, custom-made items, 1-yard fabric cuts and certain other items are non-returnable. The inability to return an item is clearly noted on each individual product page. It is your responsibility to verify a product’s eligibility for return before purchase.

Any item that has been altered in any way (e.g., cut, sewn, marked on, laminated, etc.) is not eligible for return. Return Authorizations (RA) must be entered online and will be reviewed internally to assess compliance. You will be notified if all or part of a return request is refused, at which time you will be assigned an RA number to mark on your return parcel.

By using the Company or the products and services provided by or through the Company website, to the maximum extent permitted by applicable law, you agree to abide by the Company's item return requirements and waive and release the Companies from any claim or liability in connection with your failure to do so.

The Company offers free video and tutorial content, including how-to projects, tips and tricks, and selection guides, for users to use at will. We provide these videos and tutorials free of charge for users to use as inspiration. The Company is not responsible for injury, damages, legal fees, monetary loss or outcome of any project based on, inspired by or made with any of the Company's free video and tutorial content.
